No Guarantee of Results

IN NO EVENT SHALL ATLAS CPA INDEX OR BC HOLDINGS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• • Unauthorized access to or alteration of your data
• • Any third-party conduct or content on our service

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS LIMITATION OF LIABILITY, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS.

Data Breach Notification

Indemnification

Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

CLASS ACTION WAIVER:

To the fullest extent permitted by law, you and Atlas CPA Index (BC Holdings LLC) agree that any proceedings to resolve disputes will be conducted solely on an individual basis. You waive any right to participate in a class action, class-wide arbitration, or any other representative proceeding.

Small Claims Exception: Either party may bring an individual action in small claims court.

Opt-Out: You may opt out of this arbitration agreement by sending written notice within 30 days of first accepting these Terms to legal@atlascpaindex.com.

Force Majeure

Atlas CPA Index and BC Holdings LLC shall not be liable for any failure or delay in performing obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, cyberattacks, pandemics, or other force majeure events.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

Intellectual Property

All content on Atlas CPA Index, including text, graphics, logos, and the LIFTS Assessment methodology, is the property of BC Holdings LLC or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Third-Party Trademarks: CPA, Certified Public Accountant, and CPA Exam are trademarks of the American Institute of Certified Public Accountants (AICPA). NASBA is a trademark of the National Association of State Boards of Accountancy. All other trademarks are the property of their respective owners. Use of these marks does not imply endorsement.

User Generated Content

If we introduce features that allow user-submitted content (such as comments, reviews, or forum posts), the following terms apply:

• • You retain ownership of content you submit, but grant BC Holdings LLC a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content in connection with the Service
